FLKD Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the FLKD website, mobile applications, marketplace, photographer profiles, booking services, messaging, payment features, and related services (collectively, the “Services”).

The Services are operated by FLKD LLC, a California limited liability company (“FLKD,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, or submitting or accepting a booking through FLKD, you agree to these Terms and any additional policies or agreements presented to you in connection with particular FLKD features.

Privacy

FLKD's collection, use, disclosure, and protection of personal information is described in the FLKD Privacy Policy. By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy. The Privacy Policy is separate from these Terms and may be updated as described in that policy.

1. FLKD Is a Marketplace

FLKD is a sports photography marketplace that helps customers discover and book independent photographers.

Unless expressly stated otherwise, photographers offering services through FLKD are independent providers and are not employees, agents, partners, or representatives of FLKD.

Photographers control the photography services they offer, subject to FLKD marketplace rules and applicable law.

FLKD does not guarantee that any particular photographer, booking, event, photograph, result, or service will meet a user’s expectations.

2. Accounts and Eligibility

You must provide accurate and current information when creating or maintaining an account.

You are responsible for activity occurring through your account and for protecting your login credentials.

Photographers must satisfy FLKD eligibility requirements before becoming publicly visible and bookable.

The minimum photographer age is 14. Photographers ages 14–17 are subject to FLKD’s guardian-consent, payout, identity-verification, and related requirements.

Where a user is not legally able to enter into a transaction independently, a parent or legal guardian must act as required by applicable law.

3. Photographer Profiles and Services

Photographers are responsible for accurately describing their services, experience, portfolio, packages, pricing, availability, service area, and other profile information.

Photographers may only upload or display content they have the right to use.

FLKD may limit, suspend, or remove profiles or content that violate these Terms, marketplace standards, applicable law, or third-party rights.

4. Booking Requests

A customer may submit a booking request for photography services available through FLKD.

A booking request is not confirmed until the photographer accepts it and FLKD successfully completes the applicable payment process.

FLKD’s standard Request-to-Book acceptance window is 8 active response hours, counted during applicable response hours of 7:00 AM through 8:00 PM local time. The timer pauses outside those response hours.

If a request is declined, expires, is withdrawn, or cannot be successfully processed, the booking is not confirmed.

5. Payments

Customers authorize FLKD and its payment providers to process the amounts shown during checkout.

FLKD’s current marketplace flow generally authorizes the customer’s payment when a booking request is submitted and captures the authorized payment when the photographer accepts the booking.

If a booking is declined or expires, FLKD will instruct its payment provider to release or cancel the applicable authorization as appropriate.

Payment services may be provided by Stripe or other payment providers. Use of those services may also be subject to the payment provider’s terms.

6. Fees

FLKD may charge customers a service fee and may charge photographers marketplace fees or subscription fees.

Applicable fees are disclosed before the relevant transaction, subscription, or purchase is completed.

Fees may vary depending on the FLKD plan, booking relationship, promotion, or other disclosed conditions.

Taxes, where applicable, may be calculated and shown separately.

7. Photographer Subscriptions

Certain photographer features may be offered through paid subscriptions.

Subscription price, billing frequency, included features, and renewal terms will be disclosed before subscription enrollment.

Where a subscription automatically renews, FLKD will obtain any consent and provide any notices required by applicable law.

Photographers may cancel recurring subscriptions using the cancellation method made available by FLKD. Cancellation generally prevents future renewal and does not retroactively refund an already-started subscription period unless required by law or expressly stated otherwise.

8. Cancellations and Refunds

Unless a different policy is expressly shown for a booking, customer-initiated cancellations are subject to FLKD’s standard cancellation schedule, measured from the scheduled coverage start time in the venue’s local time:

• More than 48 hours before coverage start: customer receives 100% of the photography package amount; photographer receives 0%.
• 24–48 hours before coverage start: customer receives 50% of the photography package amount; photographer receives 50%.
• Less than 24 hours before coverage start: customer receives 25% of the photography package amount; photographer receives 75%.
• After coverage starts or customer no-show: customer receives 0% of the photography package amount; photographer receives 100%.

The FLKD service fee is non-refundable for customer-initiated cancellations, except where required by law.

Refunds, credits, or adjustments may also be issued where required by law or under another applicable FLKD policy.

9. Rescheduling

Rescheduling requests are subject to photographer availability and FLKD’s applicable booking rules.

A reschedule is not effective until confirmed through FLKD.

10. Photography Coverage and Delivery

The photographer is responsible for providing the photography services described in the confirmed booking.

Customers are responsible for providing accurate event, venue, athlete, access, timing, and other booking information reasonably necessary for coverage.

Photographers deliver completed work using the delivery method specified through FLKD, which may include an external gallery link.

FLKD does not guarantee a particular number of photographs, editing style, image, moment, or creative result except as expressly included in the photographer’s booked package.

11. Payouts and Identity Verification

Photographer payouts are processed using FLKD’s payment infrastructure and may be subject to identity verification, tax, banking, fraud-prevention, chargeback, compliance, or other requirements.

FLKD may delay or hold payout eligibility when necessary to address disputes, chargebacks, suspected fraud, incomplete verification, legal requirements, or violations of these Terms.

Stripe may provide connected-account, verification, or payout services directly to photographers under Stripe’s applicable agreements.

12. Reviews

FLKD reviews are limited to eligible users following completed FLKD bookings.

Users may not submit fraudulent, misleading, abusive, manipulated, or compensated reviews.

FLKD may remove reviews that violate marketplace rules, legal requirements, or these Terms.

13. Messaging and Off-Platform Conduct

FLKD messaging is intended for communications related to an existing booking or booking request.

Users may not use FLKD to harass others, send unlawful or abusive material, solicit prohibited transactions, evade applicable FLKD fees, or misuse another user’s personal information.

14. User Content and Intellectual Property

You retain ownership of content you own and submit to FLKD.

By uploading content to FLKD, you grant FLKD a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute that content as reasonably necessary to operate, promote, secure, and improve the Services.

You represent that you have the rights and permissions necessary to provide any content you upload.

Except for user content and third-party materials, the FLKD Services, software, branding, designs, text, and other FLKD materials are owned by FLKD LLC or its licensors and are protected by applicable intellectual-property laws.

15. Photos Depicting Minors and Parent/Guardian Removal Requests

If a photograph displayed on an FLKD-controlled public online surface depicts an identifiable minor, a parent or legal guardian of that minor may withdraw or revoke consent previously given to FLKD for FLKD-controlled public online use of that photograph, or may request removal of the identified photograph, by contacting info@flkdapp.com. FLKD may take reasonable steps to verify the requester's identity and authority and to identify the photograph at issue.

After a verified request, FLKD will take reasonable steps to remove the identified image from FLKD-controlled public online surfaces and stop future FLKD-controlled public use of that image, subject to applicable law and reasonable technical limitations. This does not require FLKD to delete a photographer's original files, remove content from external galleries or third-party services outside FLKD's control, retrieve copies already distributed outside FLKD's control, or immediately purge archival or backup copies maintained for security or disaster-recovery purposes.

Photographers agree to reasonably cooperate with FLKD when FLKD directs removal of an image from an FLKD-controlled public surface in response to a verified parent or guardian request.

16. Prohibited Conduct

You may not:

• use FLKD for unlawful, fraudulent, deceptive, abusive, or harmful activity;
• impersonate another person or misrepresent your identity, qualifications, availability, or services;
• interfere with the security or operation of the Services;
• scrape, copy, reverse engineer, or misuse the Services except as permitted by law;
• upload content that infringes third-party rights;
• manipulate bookings, reviews, payments, promotions, or marketplace activity;
• misuse customer, athlete, guardian, photographer, or event information; or
• use FLKD to facilitate prohibited or unlawful transactions.

17. Suspension and Termination

FLKD may restrict, suspend, deactivate, or terminate access when reasonably necessary to protect users, enforce these Terms, satisfy legal or payment-provider requirements, investigate misconduct, or protect the Services.

Users may request to close their FLKD account through available account controls or by contacting FLKD Support at support@flkdapp.com. Account closure remains subject to outstanding bookings, payment or payout obligations, disputes, legal or record-retention requirements, and other obligations that reasonably survive account closure.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FLKD does not warrant uninterrupted availability, specific photography results, the conduct of users, or that every photographer or customer will satisfy another user’s expectations.

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLKD LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

Any additional limitation of liability applicable to paid transactions should be interpreted subject to applicable law.

20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FLKD LLC and its affiliates, owners, officers, employees, contractors, and agents from claims, damages, obligations, losses, liabilities, costs, and expenses arising from your misuse of the Services, your violation of these Terms, your services or conduct, or your infringement of another person’s rights.

21. Disputes

Before starting formal proceedings, you and FLKD agree to attempt to resolve disputes informally.

Except where prohibited by law, disputes that cannot be resolved informally will be resolved through individual binding arbitration, rather than a jury trial or class proceeding.

Either party may bring an eligible individual claim in small-claims court.

Claims may not be consolidated or pursued on a class, collective, or representative basis to the extent permitted by applicable law.

22. Governing Law

These Terms are governed by the laws of the State of California, except to the extent federal law or another applicable law requires otherwise.

23. Changes to These Terms

FLKD may update these Terms from time to time.

Material changes will be communicated as required by law. Continued use of the Services after updated Terms become effective constitutes acceptance where permitted by law.
